Terms of Use

  1. Introduction

    Welcome to Patrollo (“Company,” “we,” “our,” “us”). These Terms of Use (“Terms”) govern your use of our web application, website, and related services (collectively, the “Service”) designed to manage patrol reporting and facility scanning.

    By accessing or using the Service, you (“Subscriber,” “you,” “your”) agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

  2. Description of the Service

    Patrollo provides a digital platform for security facilities to manage patrol operations. The Service includes:

    • The installation and mounting of physical QR code/NFC scanning points (“Tags”) at your facility.

    • A mobile interface for security personnel to scan Tags during patrols.

    • A web-based dashboard for you to generate reports based on scan data.

    • A client portal and email functionality for your clients to view completed reports.

  3. Account Registration and Security

    1. Account Creation. To use the Service, you must register for an account. You agree to provide accurate, current, and complete information.
    2. Responsibility. You are responsible for safeguarding the passwords and credentials used to access the Service. You are responsible for all activities that occur under your account, including any scans made by your security personnel.
    3. Notification. You must notify us immediately of any unauthorized use of your account.
  4. Physical Tags and Hardware

    1. Installation. Upon subscription, we will install Tags at the locations designated by you. You are responsible for providing safe access to these locations for our installation team.
    2. Ownership and Care. The Tags remain the property of Patrollo unless otherwise stated. You agree to take reasonable care of the Tags and will be responsible for the cost of replacement of Tags that are lost, stolen, or damaged due to negligence. Replacement costs will be communicated to you at the time of the incident and are due upon invoicing.
    3. Interference. You shall not remove, deface, cover, or relocate any Tag without prior written consent from us.
  5. Subscription, Fees, and Payments

    1. Fees. Certain parts of the Service are billed on a subscription basis (“Subscription”). You agree to pay all fees specified when subscribing.
    2. Payment. Fees are non-refundable except as required by law. We use third-party payment processors; we do not store your full payment information.
    3. Term and Renewal. Subscriptions automatically renew at the end of the billing period unless canceled by you at least 30 days before the renewal date. To cancel, email us at info@patrollo.3bsystems.com with your account name and a written request to cancel. Cancellations received fewer than 30 days before renewal will take effect at the end of the following billing period.
  6. Intellectual Property Rights

    1. Our Rights. The Service, including its code, design, logos, and software, is the exclusive property of Patrollo and is protected by copyright and intellectual property laws. You are granted a non-exclusive, non-transferable right to use the Service.
    2. Your Data. You retain all ownership rights to the data and reports generated by your patrols (“Your Data”). You grant us a license to use Your Data solely to provide and improve the Service (e.g., storing scans, generating reports).
  7. Acceptable Use Policy

    You agree not to misuse the Service. For example, you may not:

    • Use the Service for any illegal or unauthorized purpose.

    • Attempt to hack, disrupt, or compromise the integrity of the Service.

    • Use the Service to impersonate any person or entity.

    • Allow clients or unauthorized users to access the administrative dashboard.

  8. Client Access and Portals

    1. Client Responsibility. You may invite your clients to view reports via a login portal. You are solely responsible for managing which clients have access and for the accuracy of the reports shared with them.
    2. No Direct Relationship. Your clients are not our customers. Patrollo is not a party to any contract between you and your clients. You are solely responsible for your relationship and any agreements with your clients. Any disputes arising from reports shared with your clients are solely between you and your clients — Patrollo has no liability in connection with such disputes. Furthermore, Patrollo is not liable for any decisions, actions, or consequences that arise from your clients’ reliance on the content of any report generated by the Service. The accuracy and interpretation of patrol reports are your responsibility as the Account Holder.
  9. Third-Party Services

    The Service may integrate with third-party services (e.g., email delivery, payment processing). We do not control these third parties and are not responsible for their actions.

    Account Holders who believe they may be subject to the EU General Data Protection Regulation (GDPR) on behalf of their Personnel or clients may contact us at info@patrollo.3bsystems.com to request a Data Processing Agreement (DPA).

  10. Termination

    We may terminate or suspend your account and bar access to the Service immediately, without prior liability, for breach of these Terms. Upon termination, your right to use the Service stops immediately. We may delete Your Data after a reasonable period following termination.

  11. Disclaimer of Warranties

    THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. Patrollo MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE OPERATION OR AVAILABILITY OF THE SERVICE, OR THE INFORMATION, CONTENT, AND MATERIALS INCLUDED THEREIN. WE DO NOT GUARANTEE THAT THE SCANNING TAGS WILL BE 100% ERROR-FREE OR THAT THE SERVICE WILL BE UNINTERRUPTED.

    Patrollo does not guarantee any specific uptime percentage or availability service level under these Terms. No SLA is included in a standard subscription. Enterprise customers requiring a defined uptime commitment may inquire about a separate written SLA agreement by contacting us at info@patrollo.3bsystems.com.

  12. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Patrollo, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. Our total liability to you shall not exceed the amount you paid us during the twelve (12) months prior to the event giving rise to the liability.

  13. Indemnification

    You agree to defend, indemnify, and hold harmless Patrollo from and against any losses, damages, or costs (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your interaction with your clients.

  14. Changes to Terms

    We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or a notice on the website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

  15. Dispute Resolution

    Before initiating any legal proceeding, both parties agree to attempt to resolve any dispute informally. The party raising the dispute must send a written notice to the other describing the issue and their proposed resolution. Both parties will then have 30 days to negotiate in good faith. Written notice to Patrollo must be sent to the address in Section 16 below.

    If the dispute is not resolved within 30 days of the written notice, either party may pursue available legal remedies. Any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and both parties consent to personal jurisdiction in those courts.

  16. Governing Law

    These Terms shall be governed by the laws of the State of California, United States, without regard to its conflict of law provisions.
